Terms of Service

These Terms of Service (“Terms”) govern your access to and use of AisleMint, the inventory management and replenishment app for Shopify developed by Joycraft Software.

1. Acceptance of Terms

By installing AisleMint on your Shopify store, accessing it, or using any part of the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not install or use AisleMint. We may update these Terms as described in Section 13; continued use after changes take effect constitutes acceptance of the revised Terms.

2. Description of Service

AisleMint is an inventory management and replenishment app for Shopify merchants. Its core features include:

• Inventory value reporting
• Purchase history and purchase order management
• Stocktake history and inventory counting
• Inventory change logs
• Replenishment suggestions and inventory thresholds
• Supplier management
• Multi-location inventory support
• Price label and shelf label printing
• Product receiving and quantity adjustments

AisleMint operates as a Shopify app and depends on Shopify’s platform and APIs. Features, functionality, and the overall look of the Service may change over time as we improve it.

3. Eligibility

You may use AisleMint only if you operate a Shopify store, are at least 18 years old, and have the authority to bind the business or merchant account on whose behalf you are installing the app. By using the Service you represent that you meet these requirements.

4. Account and Registration

AisleMint does not maintain a separate login. You access the app through your Shopify account using Shopify’s secure OAuth flow. You are responsible for:

• Maintaining the security of your Shopify account credentials,
• All activity that occurs under your Shopify account in connection with AisleMint, and
• Ensuring your shop’s settings and permissions allow the app to function.

5. Subscription and Billing

5.1 Plans and pricing

AisleMint is offered under the following plans. All prices are in US Dollars (USD) and are exclusive of applicable taxes.

White Glove Migration is a one-time onboarding service. It is included at no additional cost with the Annual plan.

5.2 Free trial

Eligible new subscriptions to paid plans include a 14-day free trial. During the trial you may use the features of your chosen plan at no charge. If you do not cancel before the trial ends, your plan subscription begins and you will be charged. You will be shown the applicable charge and billing cycle before the trial converts, via Shopify’s standard subscription confirmation.

5.3 Recurring billing and cancellation

Paid plans are recurring subscriptions billed through Shopify’s App Subscription service. Each period renews automatically at the end of the current billing cycle until cancelled. You may cancel at any time from the billing section of your Shopify admin; AisleMint does not process or store your payment details. After cancellation, you retain access to the features of your paid plan until the end of the current billing period, after which your account reverts to the Free tier.

5.4 Price changes

We may change plan prices from time to time. If we change the price of a plan you are subscribed to, we will notify you in advance (typically at least 30 days) and the new price will apply at the next renewal. Continued renewal after a price change constitutes acceptance of the new price.

6. Acceptable Use

You agree not to misuse AisleMint. Specifically, you will not:

• Use the Service for any unlawful purpose or in violation of any applicable law or regulation;
• Attempt to disrupt, overload, or interfere with the Service or its underlying infrastructure;
• Reverse engineer, decompile, or attempt to extract the source code of the Service;
• Resell, sublicense, or commercially exploit the Service except as expressly permitted by these Terms;
• Use the Service to process data of anyone other than your own business without authorization;
• Probe, scan, or test the security of the Service without authorization;
• Circumvent any feature or limit of the Service, including usage limits applicable to your plan.

7. Intellectual Property

AisleMint, including its software, design, branding, documentation, and all related intellectual property, is owned by Joycraft Software and is protected by applicable intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with these Terms. You retain all rights to your own data and your Shopify store’s data, and we do not claim ownership of any of your content.

8. User Data

You own your data and are responsible for its accuracy and legality. We process your data only to provide the Service, as described in our Privacy Policy. We do not sell your data. The Service is intended for business use, and you are responsible for complying with applicable data protection requirements for any personal data you submit through the Service.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE MAXIMUM EXTENT PERMITTED BY LAW, JOYCRAFT DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OR COMPLETENESS OF DATA OR REPORTS. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED. YOUR INVENTORY DECISIONS, INCLUDING REPLENISHMENT AND PURCHASING ACTIONS BASED ON AISLEMINT REPORTS, ARE YOUR RESPONSIBILITY.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, JOYCRAFT’S TOTAL LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU HAVE PAID TO JOYCRAFT FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR (B) ONE HUNDRED US DOLLARS ($100). IN NO EVENT SHALL JOYCRAFT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN LIABILITIES, SO THIS SECTION MAY NOT APPLY TO YOU IN FULL.

11. Indemnification

To the maximum extent permitted by law, you agree to indemnify and hold harmless Joycraft Software and its personnel from and against any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of or related to (a) your use of the Service, (b) your violation of these Terms, or (c) your violation of any rights of a third party, including infringement of intellectual property rights.

12. Termination

You may stop using and uninstall AisleMint at any time from your Shopify admin. We may suspend or terminate your access to the Service if you materially breach these Terms, if required by law or a Shopify requirement, or to protect the security or integrity of the Service. Upon termination, we will delete your data as described in our Privacy Policy (Section 5), and your paid access ends in accordance with the billing provisions in Section 5.3.

13. Changes to Terms

We may revise these Terms from time to time. When we do, we will update the “Last updated” date and, for material changes, notify affected merchants through the app or by email before they take effect. Your continued use of AisleMint after such changes constitutes acceptance of the revised Terms.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Hong Kong Special Administrative Region, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Service shall first be addressed through good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation, it shall be referred to and finally resolved by the courts of Hong Kong, and each party submits to the exclusive jurisdiction of those courts, except that nothing prevents either party from seeking injunctive or other equitable relief in any jurisdiction with competent authority.
